Notice: PIVIT Technologies Inc. reserves the right to update, modify, or replace these Terms & Conditions at any time, at our sole discretion, with or without prior notice. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
1. Acceptance of Terms
By accessing or using PIVIT — including pivit.com, our mobile applications, PIVIT Wallet, PIVIT Coin, AVA (PIVIT AI), PIVIT Music, PIVITPod, and all related services (collectively, the "Platform") — you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use the Platform. These Terms constitute a legally binding agreement between you and PIVIT Technologies Inc., a Delaware corporation doing business as PIVIT. 2. Eligibility & Account Registration
You must be at least 13 years of age to use PIVIT. Users between 13 and 17 require parental or guardian consent. You must be at least 18 to use PIVIT Wallet, PIVIT Coin, financial services, or any feature involving real-money transactions. By creating an account, you represent that all information you provide is accurate and that you have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3. Username Reservation, Ownership & Celebrity/Brand Policy
Reserving a username on PIVIT during the pre-launch phase is a reservation of interest only — it does not constitute ownership, a contractual right, or any guarantee that the reserved username will be available on the live platform. PIVIT does not guarantee any username to any user.
At platform launch, PIVIT will extend first right of claim to verified celebrities, public figures, and large-scale influencers for usernames that match their established identity on other major platforms (including but not limited to Instagram, X, TikTok, and YouTube). This is done to protect personal brands, prevent impersonation, and ensure the integrity of the platform at launch. If a reserved username is reclaimed under this policy, the original reserving user will be notified and offered an alternative.
PIVIT will make reasonable, good-faith efforts to respect existing registered trademarks and established brand identities when assigning usernames. Where a conflict is identified between a reserved username and a registered trademark or well-known brand, PIVIT reserves the right to reassign or modify that username. Adjustments will be made on an ongoing basis as conflicts are identified. PIVIT is not liable for any perceived loss of value resulting from username reassignment under this policy.
Usernames may not be sold, transferred, or monetized outside of PIVIT's official systems. PIVIT reserves the right to reclaim any username that is inactive, violates these Terms, or is needed for platform integrity at any time.
4. Your Content
You retain full ownership of the content you create and post on PIVIT. By posting content to any public area of the Platform, you grant PIVIT Technologies Inc. a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, store, display, reproduce, modify, distribute, and create derivative works from your content for the purpose of operating, improving, and promoting the Platform. You also grant other users of the Platform a non-exclusive license to access, view, share, and redistribute your public content in accordance with the functionality of the Platform.
This license does not affect your ownership. You may delete your content at any time, and upon deletion the license to that content ends — except where your content has already been shared, reposted, or distributed by others, in which case those copies may remain. You are solely responsible for the content you post. PIVIT does not endorse any user content.
5. Prohibited Conduct
You agree not to: post content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or invasive of another's privacy; impersonate any person, entity, or brand; post content that infringes any copyright, trademark, patent, or other intellectual property right; use the Platform to distribute spam, malware, or unauthorized advertising; attempt to access, scrape, or reverse-engineer any part of the Platform; manipulate engagement metrics through artificial means; use PIVIT for money laundering, fraud, or any illegal financial activity; post content involving minors in a sexual context; or coordinate harassment campaigns against any individual or group. Violations may result in immediate account suspension or permanent ban without notice.
6. AVA — PIVIT AI
AVA is PIVIT's integrated AI assistant, designed to help you manage daily tasks, create content, build businesses, shop, book travel, order food, and more. You agree to use AVA only for lawful purposes. You may not use AVA to generate illegal content, create deepfakes of real individuals without consent, produce spam or deceptive material, or circumvent platform policies. AVA's responses are AI-generated and may not always be accurate — PIVIT is not liable for decisions you make based on AVA's output. AVA is not a licensed therapist, financial advisor, or medical professional; its responses in those areas are for informational purposes only.
7. PIVIT Wallet & PIVIT Coin
PIVIT Wallet enables users to send, receive, store, and spend funds on the Platform. PIVIT Coin is the Platform's native digital currency. Use of financial features is subject to additional terms, identity verification requirements, and applicable financial regulations. PIVIT is not a bank. Funds held in PIVIT Wallet are not FDIC-insured. PIVIT Coin is a platform utility token and should not be considered an investment. PIVIT is not responsible for losses resulting from market fluctuations, user error, or unauthorized account access.
8. Brand Partnerships & Commerce
PIVIT enables creators to partner with brands and manufacturers, sell products, and monetize their content. If you participate in brand partnerships or commerce features, you agree to disclose sponsored content as required by applicable advertising laws (including FTC guidelines). PIVIT takes a platform fee on transactions as disclosed in our Creator Terms. PIVIT is not responsible for disputes between creators and brands or for the quality of products sold through the Platform.
9. PIVIT Music & PIVITPod
Content uploaded to PIVIT Music or PIVITPod must not infringe any third-party copyright. You represent that you own or have licensed all rights to any music, audio, or podcast content you upload. PIVIT may remove content that receives valid copyright complaints. Repeat infringers will have their accounts terminated.
10. Intellectual Property
All PIVIT branding, technology, design, software, and content — including the PIVIT name, logo, AVA, PIVIT Coin, PIVIT Wallet, PIVIT Music, PIVITPod, and all associated intellectual property — are the exclusive property of PIVIT Technologies Inc. You may not reproduce, distribute, modify, or create derivative works from any PIVIT intellectual property without prior written permission. Unauthorized use may result in legal action.
11. Platform Availability & Modifications
PIVIT reserves the right to modify, suspend, or discontinue any feature or the entire Platform at any time, with or without notice. We will make reasonable efforts to notify users of significant changes. PIVIT is not liable for any loss resulting from platform downtime, feature removal, or service modifications.
12. Termination
PIVIT may suspend or terminate your account at any time for violation of these Terms, suspected illegal activity, or for any other reason at our sole discretion. You may delete your account at any time through your account settings. Upon termination, your license to use the Platform ends immediately. Provisions that by their nature should survive termination — including content licenses, intellectual property rights, limitation of liability, and governing law — will survive.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PIVIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIVIT TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. IN NO EVENT SHALL PIVIT'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PIVIT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless PIVIT Technologies Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your content, your violation of these Terms, or your violation of any third-party rights.
16. Dispute Resolution & Arbitration
Any dispute arising out of or relating to these Terms or your use of PIVIT shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. You waive your right to a jury trial and to participate in a class action lawsuit. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized access to the Platform.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
18. Changes to These Terms
PIVIT may update these Terms at any time. We will notify you of material changes via email and in-app notification before they take effect. Updated Terms take effect immediately upon notice. Your continued use of the Platform after notification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.
19. Miscellaneous
These Terms constitute the entire agreement between you and PIVIT regarding your use of the Platform. If any provision is found unenforceable, the remaining provisions remain in full force. PIVIT's failure to enforce any right or provision is not a waiver of that right. You may not assign your rights under these Terms without PIVIT's written consent.
